Contractual Standard & Professional Execution

Welcome to Adiityaa Enterprises (headed by Director Sanjayji Laxman Aher). By commissioning our services, signing a Bill of Quantities (BOQ), executing a service agreement, or utilizing our website (adiityaa.com), you agree to comply with and be bound by the following comprehensive Terms and Conditions. These terms govern all three of our operational divisions: Housing Society Management, Civil & Industrial Construction, and Fire Fighting & Life Safety Engineering.

1. Definitions & Contracting Parties

Throughout this document, the following terms hold explicit meanings:

  • "The Enterprise" / "Contractor" / "We" / "Us": Refers to Adiityaa Enterprises, having its registered operational headquarters at Flat No. 5, A-Wing, Balbim Park Sapna Co-operative Housing Society Limited, near Cipla Foundation, Warje, Pune, Maharashtra 411058.
  • "Client" / "Society" / "Customer": Refers to any registered Co-operative Housing Society (CHS), Apartment Condominium, Commercial Enterprise, Factory Owner, Builder, or Individual purchasing services, equipment, or contracting civil works from us.
  • "Work Order" / "Service Agreement": The binding contractual document, quotation, purchase order (PO), or formal resolution detailing the project scope, engineering bill of quantities (BOQ), milestones, and commercial fee structure.
  • "Statutory Authorities": Means Pune Municipal Corporation (PMC), Pimpri Chinchwad Municipal Corporation (PCMC), Pune Metropolitan Region Development Authority (PMRDA), Maharashtra Fire Services, and Directorate of Industrial Safety & Health (DISH).

2. Scope of Services by Business Division

Adiityaa Enterprises executes works strictly within authorized technical categories:

Division A: Co-operative Housing Society (CHS) Management

Encompasses administrative conveyance facilitation, deemed conveyance processing under the Maharashtra Co-operative Societies Act 1960, AGM/SGM documentation, society billing and accounting reconciliation, facility staff supervision, security protocols, and water management audits.

Division B: Civil Construction & Structural Rehabilitation

Encompasses residential/industrial masonry, structural strengthening, polymer/micro-concrete jacket repairs, terrace elastomeric waterproofing, podium expansion joints, facade painting, paver block installation, plumbing drainage overhauls, and boundary wall infrastructure.

Division C: Fire Fighting & Life Safety Engineering

Design, turnkey installation, retrofitting, and bi-annual maintenance of wet riser/downcomer hydrant systems, automatic sprinkler grids, diesel/electric fire pumps, addressable optical smoke detection networks, Form B biannual fire safety certification filings, and ISI-certified extinguisher refilling.

3. Quotations, BOQ Estimates & Price Validity

  • Validity Period: Written quotations, BOQs, and tenders issued by Adiityaa Enterprises remain valid for exactly thirty (30) calendar days from the date of issue unless explicitly stated otherwise in writing.
  • Raw Material Fluctuations: Due to volatile spot market rates for industrial commodities (TMT reinforcement steel, OPC/PPC cement, seamless MS pipes, brass valves, and firefighting chemicals), prices accepted beyond 30 days are subject to renegotiation or indexed price adjustments.
  • Hidden or Unforeseen Conditions: Quotations for structural repair, core cutting, or underground pipeline trenching are formulated based on visible surface surveys. Any hidden structural deterioration discovered during chiseling or excavation (e.g., corroded reinforcement bars, soil subsidence, undocumented live cables) will be billed via mutual Variation Orders (VO).

4. Commercial Payment Milestones & Billing Terms

Unless customized otherwise in an executed master agreement, works proceed under standard milestones:

  • Mobilization Advance: A mandatory advance of 20% to 40% (as specified in the Work Order) is required upon signing to facilitate procurement of fabrication steel, pipes, pumps, pumpsets, or waterproof chemicals.
  • Progressive Milestone Invoicing: Running Account (RA) bills are submitted bi-weekly or monthly based on certified physical progress (e.g., completion of pipe piping, riser pressure testing, slab casting, or plaster completion).
  • Payment Timeline: RA bills must be verified and cleared by the Client committee or project engineer within seven (7) business days of invoice submission.
  • Taxes: All quoted rates are exclusive of Goods and Services Tax (GST) unless explicitly noted as GST-inclusive. Applicable GST (18% for civil/fire works, or prevailing statutory rates) will be charged on all tax invoices.
  • Late Payment Interest: Overdue sums beyond 15 calendar days from the invoice due date shall accrue commercial interest at 18% per annum calculated daily until full liquidation.

5. Client Responsibilities & Site Accessibility

To ensure unimpeded execution and adhere to project schedules, the Client agrees to:

  • Unobstructed Access: Provide continuous, secure access to duct shafts, terrace headers, basement pump rooms, common refuge areas, and riser risers during standard working hours (8:30 AM to 6:30 PM).
  • Utilities: Supply free, uninterrupted construction water and 3-phase 415V electrical power at designated site tapping points for welding generators, core drillers, and hydrostatic testing pumps.
  • Committee Sanctions: Procure all mandatory internal approvals, Managing Committee resolutions, and general body consents prior to project commencement.
  • Storage Facilities: Provide a secure, weatherproof space on the ground or basement floor for safe custody of tools, valves, cables, and chemicals. Adiityaa Enterprises is not responsible for loss due to site-wide pilferage where locking rooms are not provided.

6. Statutory Approvals & Municipal Clearances

Adiityaa Enterprises provides technical compliance documentation, hydraulic test certificates, and Form B submission dossiers. However, the Client remains the primary legal owner responsible for municipal application fees, official municipal scrutiny charges, property tax clearances, and sanctioned layout plans from PMC, PCMC, or PMRDA. Our liability is restricted to engineering compliance with the National Building Code of India (NBC 2016 Part 4) and the Maharashtra Fire Prevention and Life Safety Measures Act, 2006.

7. Warranties & Defect Liability Period (DLP)

  • Civil Construction & Structural Repair: Standard projects carry a twelve (12) month Defect Liability Period from the date of formal practical completion handover. Any workmanship defects (e.g., mortar debonding, seepage through newly treated areas) will be rectified without labor cost.
  • Fire Equipment & Machinery: Fire pumps, diesel engines, control panels, jockey systems, and smoke detectors carry the original equipment manufacturer (OEM) warranty (typically 12 months). Adiityaa Enterprises facilitates OEM warranty claims during active AMC tenures.
  • Warranty Exclusions: Warranties are voided by unauthorized third-party tampering, voltage surges, dry-running of fire pumps by unqualified society personnel, physical vandalism, structural building movement beyond design limits, or failure to perform scheduled AMC servicing.

8. Annual Maintenance Contracts (AMC) Governance

AMC agreements for fire fighting systems, hydrant pumps, and society facilities are non-transferable annual commitments. They include scheduled quarterly/monthly physical testing, greasing, gland packing, pressure checks, and emergency breakdown visits. AMC agreements do not cover the supply cost of major replacement hardware (e.g., burned pump motor rewinding, valve casting fractures) unless explicitly negotiated as a comprehensive AMC.

9. Force Majeure & Project Delays

Neither party shall be held liable for project delays or default resulting from causes beyond reasonable control, including but not limited to: torrential monsoon flooding, earthquakes, pandemics, government lockdowns, municipal stay orders, communal unrest, electrical grid outages, or widespread transport strikes. In such cases, project completion deadlines shall be reasonably extended by the duration of the disruption.

10. Limitation of Liability

To the maximum extent permitted by Indian Law, the aggregate financial liability of Adiityaa Enterprises, its directors, engineers, and employees arising out of any breach of contract, negligence, or indemnity shall be strictly limited to the actual net professional fee paid by the Client to Adiityaa Enterprises under the specific Work Order. Under no circumstances shall Adiityaa Enterprises be liable for indirect, incidental, punitive, or consequential commercial losses (including loss of rental income, resident business disruption, or third-party claims).

11. Dispute Resolution & Exclusive Pune Jurisdiction

Any dispute, controversy, or claim arising out of or relating to this contract, its breach, termination, or invalidity shall first be resolved through good-faith mutual discussions between the Director of Adiityaa Enterprises and the Client's authorized executive committee.

Failing amicable settlement within thirty (30) days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually agreed upon. The venue and seat of arbitration shall be Pune, Maharashtra. These Terms are governed exclusively by the laws of India, and the Courts of Pune, Maharashtra shall have sole and exclusive territorial jurisdiction.
